Our client is a world leader in the manufacture of specialty chemicals used in a wide range of consumer and industrial products.  Due to their continued growth we are conducting a search to fill a Corporate Paralegal for their New Brunswick, NJ area headquarters.  The focus would be to provide administrative support to the Regional Corporate Legal Counsel in commercial contracting, corporate governance, regulatory compliance, risk management and corporate training including: 
  • Develop and maintain a corporate database of contracts for the supply of products, as well as the procurement of raw materials, goods and services.
  • Prepare commercial contracts based on existing company templates.
  • Review proposed amendments to nondisclosure agreements within regional guidelines.
  • Assist with the development of self-help tools for the regional sales force and updating materials on the legal intranet.
  • Manage notice, consent and other contractual responsibilities relating to capital projects; serve as a liaison with project management on such projects.
  • Prepare Board of Director and shareholder resolutions and maintain all records relating to corporate governance of North American entities; serve as a point of contact for the Corporate Secretary in the UK.
  • Review legal bills from outside counsel and track expenses against the annual budget.
  • Track potential customer claims and assist with periodic reporting of claims to insurers and UK corporate.
  • Assist with the updating of legal training materials and the delivery of on-site training to employees.
  • Assist the regional legal counsel with the administration of the global compliance review to the UK legal team and ethics network.  Maintain all regional documents in the Ethics team room.
  • Maintain files of the legal function and organize historical documents.
  • Work independently as well as on teams to support special projects.
  • Respond to requests for general information from other departments and outside parties.
  • Bachelor's Degree with Paralegal certification or completed paralegal studies preferred strongly preferred
  • Working knowledge of contract law
  • 3 years minimum experience working for a law firm or a corporate legal department
